Dissertation abstract
Information asymmetry between the CEO and the Board of Directors constitutes one of the main challenges in contemporary corporate governance. When the executive selectively controls the information flow, the board's deliberative capacity is compromised, leading to strategic decisions based on incomplete perceptions of organizational reality. This dissertation aims to investigate how informational asymmetry between the CEO and the Board influences strategic decisions. The specific objectives propose to: (a) identify the main sources of informational asymmetry between the CEO and the Board; (b) examine how strategic information is shared in the decision-making process between the CEO and the Board; and (c) describe the corporate governance mechanisms that contribute to reducing this asymmetry. The research adopts a qualitative and exploratory approach, using semi-structured interviews applied to CEOs and board members of medium-sized Brazilian companies. Data will be examined through content analysis, with the expectation of identifying that informational asymmetry is perceived differently by CEOs and board members, that the sharing of strategic information is mediated by relational and temporal factors, and that mechanisms such as specialized committees, prior executive meetings, and tacit information leveling practices contribute to mitigating this asymmetry. The results intend to offer theoretical and practical insights for the improvement of corporate governance processes in the Brazilian context.
